How to Register a Business in Ghana (2026 Guide)

Starting a business in Ghana is straightforward if you follow the correct legal process. All businesses are registered through the Office of the Registrar of Companies (ORC). Depending on your needs, you can register as a sole proprietorship (business name), partnership, or limited liability company. 

Step 1: Choose Your Business Structure

The main business structures in Ghana are:

  • Business Name (Sole Proprietorship) – Best for individuals and small businesses.
  • Partnership – Owned by two or more people.
  • Company Limited by Shares – Suitable for startups, SMEs, and businesses seeking investment.
  • Company Limited by Guarantee – Typically for NGOs and non-profit organizations. 

Step 2: Reserve Your Business Name

Conduct a name search to confirm your preferred business name is available. If approved, the name can be reserved before registration. 

Step 3: Prepare the Required Information

You will generally need:

  • Business name
  • Nature of business
  • Registered business address
  • Ghana Card or valid ID of owners/directors
  • Digital address
  • Contact details
  • Shareholding information (for companies)
  • Beneficial ownership information (where applicable) 

Step 4: Complete the Registration Forms

The forms depend on your business type:

  • Form A – Business Name (Sole Proprietorship)
  • Form 3C – Company Limited by Shares

Applications can be submitted online or at any ORC office. 

Step 5: Pay the Registration Fees

Examples of official fees include:

  • Business Name: GH₵130 processing fee.
  • Company Limited by Shares: GH₵585 incorporation and filing fee.

Optional expedited (Prestige/VIP) services are available for an additional fee. Fees may change over time, so verify the latest schedule before payment. 

Step 6: Receive Your Registration Documents

Once approved, you will receive documents such as:

  • Certificate of Registration or Certificate of Incorporation
  • Certified copies of registration forms
  • Company Constitution (where applicable)
  • Beneficial Ownership profile (for companies) 

Step 7: Meet Your Post-Registration Obligations

After registration, you should:

  • Register for taxes with the Ghana Revenue Authority (GRA), if required.
  • Open a business bank account.
  • Apply for any industry-specific licences or permits.
  • File annual returns to keep the business in good standing.
